## Overview

USD3 packages 3Jane's senior credit tranche into an ERC-4626 share: USDC enters, idle cash waits in Aave, and the rest finances fintech receivables and crypto credit lines. Its NAV can rise above a dollar because interest accrues into the share price, so the familiar ticker is doing fund accounting rather than promising a fixed $1 quote. sUSD3 absorbs losses first, but that protection is only as thick as the junior tranche; recoveries from an impaired off-chain borrower can take months or years. Pharos can see the live split between liquid waUSDC and deployed credit, plus the amount immediately withdrawable, which is more useful than calling the whole balance USDC-backed. The senior seat is safer than the junior one, not the same thing as cash.

## Collateral

USDC deposited into 3Jane's senior credit strategy. Idle liquidity is held as USDC or Aave waUSDC, while deployed capital finances pooled fintech receivables and crypto credit lines through MorphoCredit. The junior sUSD3 tranche is designed to absorb credit losses before USD3.

## Peg Mechanism

ERC-4626 NAV share rather than a fixed $1 token: permissionless USDC deposits mint USD3 shares, interest accrues into the share price, and fee-free withdrawals return USDC when the strategy's idle and Aave liquidity is available.
