## Overview

The only stablecoin registered under the 1933 and 1940 Acts — SOFR-minus-50bps via a face-amount certificate, with full KYC and zero DeFi composability as the price of legitimacy.

YLDS is that rarest of crypto products: a {{term:yield-bearing}}yield-bearing stablecoin{{/term}} registered under the Securities Act of 1933 and the Investment Company Act of 1940, paying SOFR minus 50 basis points through a fixed face-amount certificate structure that the SEC has explicitly blessed. The reserves are 86% overnight {{term:treasury}}Treasury{{/term}} repos and 13% {{term:money-market-fund}}money market funds{{/term}} at UMB Bank, KPMG-audited, with institutional-top custody — a {{term:rwa}}real-world-asset{{/term}} reserve stack so conservative it makes Circle look adventurous. Deployed on Solana and Provenance rather than Ethereum, YLDS targets a distribution path through Figure's existing lending platform rather than DeFi composability. The trade-off is clear: full SEC registration means mandatory KYC, restricted transferability, and zero DeFi integration, but for institutions that need a yield product whose legal status doesn't require a creative memo from outside counsel, YLDS is the only game in town.
